Terms of Service

Last updated August 4, 2026

These Terms of Service ("Terms") govern access to and use of the VeriSec Labs website, KYC Portal, APIs, SDKs, and related services (together, the "Services"), operated by VeriSec Labs Ltd. ("VeriSec Labs," "we," "us," "our"). By creating an account, accessing our APIs, or otherwise using the Services, you agree to these Terms on behalf of yourself and, if applicable, the business you represent ("Customer").

1. Acceptance of These Terms

You must have the legal capacity, and if acting for a business, the authority, to bind that business to these Terms. These Terms take effect when you create an account, accept an order form, or begin using our APIs, whichever happens first.

2. Description of the Service

VeriSec Labs provides identity-verification and document-intelligence products, KYC, Document Recognition & Authenticity, MRZ, NFC/ePassport, Face, AML Screening, Scan-to-Pay, MICR, and Custom OCR, accessible through the KYC Portal, our APIs, and SDKs, for Customer to integrate into its own products or workflows. We may add, change, or discontinue features, including products marked "Coming soon," at any time.

3. Accounts, API Keys & Environments

Customer is responsible for the accuracy of its account information and for safeguarding its API keys and login credentials. We provide separate Sandbox (Test) and Live environments; Sandbox results are for testing only and must not be used to make real decisions about real applicants. Certain products offer a limited number of free Sandbox trials, currently Face 1:1, Face 1:N, Document Recognition & Authenticity, Face Attributes, and Face Comparison; other products (AML Screening, Proof of Address, Phone Verification, Email Verification) must be purchased before they can be tested, because each carries a real cost from an external data source. Live access requires an active subscription and, where applicable, completion of our own onboarding checks on Customer.

4. Acceptable Use

Customer will only use the Services to verify individuals who have been informed a verification is taking place and, where required by law, who have given any necessary consent. Customer will not use the Services to discriminate unlawfully, to conduct covert surveillance, to verify individuals without a lawful basis, or in any way that violates applicable law. Customer will not attempt to reverse-engineer, extract, or replicate our models, decompile our SDKs, or use the Services to build a competing product. We may suspend access for any use we reasonably believe breaches this section or puts other customers, applicants, or the Services at risk.

5. Fees, Billing & Free Trials

Live usage of billable components, Document Authenticity & Recognition, Proof of Address, Email & Phone Verification, Face Liveness, Face 1:1 Match, NFC Verification, Device & IP Analysis, and, once available, AML Screening, is billed per verification at the rates shown in Customer's account or an applicable order form. Customer authorizes us to charge its credit balance or payment method for usage; unpaid balances may result in suspension of Live access. Fees are non-refundable except as required by law or expressly stated in an order form.

6. Data Roles & Responsibilities

As between Customer and VeriSec Labs, Customer is generally the controller of its applicants' personal information, and VeriSec Labs processes that information as a processor, on Customer's documented instructions, as described in our Privacy Policy and any applicable data processing agreement. Customer is responsible for having a lawful basis to collect and share applicant information with us, and for giving applicants appropriate notice.

7. Intellectual Property

We own all right, title, and interest in the Services, including our software, models, documentation, and trademarks; these Terms do not transfer any of that ownership to Customer. Customer retains ownership of its own data, including its Workflow configurations and applicant records, subject to our right to use de-identified or aggregated data to operate and improve the Services.

8. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.

9. Warranties & Disclaimers

The Services are provided "as is." Identity verification involves inherent uncertainty; we do not guarantee that any decision or score is error-free, and Customer remains responsible for its own compliance and business decisions. Except as expressly stated, we disclaim all other warranties, express or implied, to the maximum extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and each party's total liability under these Terms is limited as set out in the applicable order form or agreement between the parties.

11. Term, Suspension & Termination

These Terms apply for as long as Customer maintains an account or uses the Services. Either party may terminate for the other's uncured material breach. We may suspend or terminate access immediately for a violation of Section 4 (Acceptable Use) or non-payment.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Rwanda. The parties will first attempt to resolve any dispute amicably through good-faith negotiation for fifteen (15) days; unresolved disputes will be submitted to the competent courts of the Republic of Rwanda.

13. Changes to These Terms

We may update these Terms from time to time; material changes will be notified through the KYC Portal or by email. Continued use of the Services after changes take effect constitutes acceptance.
